Article 1 – Designation<\/h3>\n

<\/p>\n

<\/p>\n

Under the name “Fondation pour la Recherche en faveur des personnes Handicap\u00e9s” (Foundation for Research in favour of the Disabled), a foundation governed by the present statutes and by articles eighty et seq. of the Swiss Civil Code is established.<\/p>\n

<\/p>\n

<\/p>\n

Article 2 – Seat<\/h3>\n

<\/p>\n

<\/p>\n

The head office of the Foundation is in Lausanne.<\/p>\n

<\/p>\n

<\/p>\n

Article 3 – Duration<\/h3>\n

<\/p>\n

<\/p>\n

The duration of the Foundation is unlimited.<\/p>\n

<\/p>\n

<\/p>\n

Article 4 – Aims<\/h3>\n

<\/p>\n

<\/p>\n

The aims of the Foundation are as follows:<\/p>\n

<\/p>\n

<\/p>\n

    \n
  • to conduct and encourage research, mainly in the human and social sciences, aimed at improving the situation of people with disabilities – minors and adults – in society;<\/li>\n
  • and disseminate the results,<\/li>\n
  • the Foundation has no economic purpose.<\/li>\n<\/ul>\n

    Article 5 – Creation<\/h3>\n

    <\/p>\n

    <\/p>\n

    The founders allocate an initial capital of thirteen thousand francs (Fr. 13’000.–), received for this purpose, to achieve the purpose of the Foundation.<\/p>\n

    <\/p>\n

    <\/p>\n

    Article 6 – Foundation Board<\/h3>\n

    <\/p>\n

    <\/p>\n

    The Foundation is administered by a self-constituting Foundation Board of at least five members.<\/p>\n

    Decisions are taken at meetings of at least one-third of the Board members by a majority of the members present, either by teleconference or e-mail by a majority of the Board.<\/p>\n

    In the event of a tie, the Chairman has the casting vote.<\/p>\n

    The Council may delegate some of its powers or competences to an Executive Board of at least three members, elected for a period of three years and eligible for re-election.<\/p>\n

    The Foundation is committed by the collective signature of two members of the Board.<\/p>\n

    The Board may empower third parties to bind the Foundation by the collective signature of two.<\/p>\n

    <\/p>\n

    Article 7 – Financing<\/h3>\n

    <\/p>\n

    <\/p>\n

    The Board of Trustees administers the Foundation’s assets and provides for the investment of the assets according to its own judgement and ensures that they are used in accordance with the statutory purpose. Both the income and the capital itself may be used at any time in accordance with the needs of the Foundation and at the discretion of the Board, which alone is competent to decide, subject to the legal and statutory provisions.<\/p>\n

    The Foundation may accept donations, legacies and other gifts. The Board shall prescribe whether and to what extent gifts received are to be considered as income or as an increase in capital.<\/p>\n

    The Board is responsible for all decisions relating to the Foundation’s programme of activities.<\/p>\n

    <\/p>\n

    Article 8 – Scientific Committee<\/h3>\n

    <\/p>\n

    <\/p>\n

    The Council shall appoint a permanent scientific committee consisting of at least five members, which shall constitute itself.<\/p>\n

    This commission shall issue, for the attention of the Council :<\/p>\n

      \n
    • proposals for research topics,<\/li>\n
    • advance notice on the timeliness and quality of projects,<\/li>\n
    • recommendations for the dissemination of results<\/li>\n<\/ul>\n

      The term of office of the members of the commission is three years and is renewable.<\/p>\n

      A member of the executive committee is an ex officio member of the scientific commission.<\/p>\n

      <\/p>\n

      <\/p>\n

      Article 9 – Remuneration<\/h3>\n

      <\/p>\n

      <\/p>\n

      The Board may decide on the hiring of paid employees.<\/p>\n

      <\/p>\n

      <\/p>\n

      Article 10 – Elections<\/h3>\n

      <\/p>\n

      <\/p>\n

      New board members are chosen by co-option, ensuring that they can support research initiatives that meet the Foundation’s missions and represent the interests of people with disabilities and their families in the diversity of issues that arise, whatever the disability.<\/p>\n

      <\/p>\n

      <\/p>\n

      Article 11 – Accounting period<\/h3>\n

      <\/p>\n

      <\/p>\n

      The closing date for the annual financial year shall be the thirty-first of December of each year. The first financial year shall end on the thirty-first of December one thousand nine hundred and eighty. The balance sheet and profit and loss account are submitted to the Cantonal Supervisory Authority together with the annual report.<\/p>\n

      <\/p>\n

      Article 12 – Dissolution<\/h3>\n

      <\/p>\n

      <\/p>\n

      In the event of the dissolution of the Foundation, its assets shall be used in accordance with its statutory purpose; in particular, they may be transferred to an institution with a similar purpose, subject to the approval of the Supervisory Authority. Under no circumstances may they be returned to the founders.<\/p>\n

      Thus decided at the Foundation Board meeting on 20 September 2011.<\/p>\n

      Article 1<\/h4>\n\n\n\n

      Sous la d\u00e9nomination \"Fondation pour la Recherche en faveur des personnes Handicap\u00e9s\" est constitu\u00e9e une fondation r\u00e9gie par les pr\u00e9sents statuts et par les articles huitante et suivants du Code civil suisse.<\/p>\n\n\n\n

      Article 2<\/h4>\n\n\n\n

      Le si\u00e8ge de la Fondation est \u00e0 Lausanne.<\/p>\n\n\n\n

      Article 3<\/h4>\n\n\n\n

      La dur\u00e9e de la Fondation est illimit\u00e9e.<\/p>\n\n\n\n

      Article 4<\/h4>\n\n\n\n

      Les buts de la Fondation sont les suivants :<\/p>\n\n\n\n

      \u2022 mener et susciter, principalement en sciences humaines et sociales, des recherches destin\u00e9es \u00e0 favoriser l'am\u00e9lioration de la situation des personnes handicap\u00e9es \u2013 mineures et adultes \u2013 dans la soci\u00e9t\u00e9;
      \u2022 et diffuser les r\u00e9sultats
      La Fondation n'a pas de but \u00e9conomique.<\/p>\n\n\n\n

      Article 5<\/h4>\n\n\n\n

      Les fondateurs affectent \u00e0 la r\u00e9alisation du but de la Fondation un capital initial de treize mille francs (Fr. 13'000.--), re\u00e7u \u00e0 cet effet.<\/p>\n\n\n\n

      Article 6<\/h4>\n\n\n\n

      La Fondation est administr\u00e9e par un Conseil de fondation de cinq membres au minimum, qui se constitue lui-m\u00eame. <\/p>\n\n\n\n

      Les d\u00e9cisions sont prises, lors de s\u00e9ances r\u00e9unissant au moins le tiers des membres du conseil, \u00e0 la majorit\u00e9 des membres pr\u00e9sents, soit par t\u00e9l\u00e9conf\u00e9rence ou courriel \u00e0 la majorit\u00e9 du conseil. <\/p>\n\n\n\n

      En cas d'\u00e9galit\u00e9, le Pr\u00e9sident a voix pr\u00e9pond\u00e9rante <\/p>\n\n\n\n

      Le Conseil peut d\u00e9l\u00e9guer certaines de ses attributions ou comp\u00e9tences \u00e0 un bureau ex\u00e9cutif d'au moins trois membres, \u00e9lus pour une p\u00e9riode de trois ans et r\u00e9\u00e9ligibles. <\/p>\n\n\n\n

      La Fondation est engag\u00e9e par la signature collective de deux membres du Conseil de fondation. <\/p>\n\n\n\n

      Le Conseil peut donner pouvoir \u00e0 des tiers d'engager la Fondation par leur signature collective \u00e0 deux.<\/p>\n\n\n\n

      Article 7<\/h4>\n\n\n\n

      Le Conseil de fondation administre les biens de la Fondation et pourvoit au placement des capitaux selon son propre jugement, et veille \u00e0 leur utilisation conform\u00e9ment au but statutaire. Tant les revenus que le capital lui-m\u00eame peuvent \u00eatre utilis\u00e9s en tout temps selon les besoins de la Fondation et l'appr\u00e9ciation du conseil, qui est seul comp\u00e9tent pour en d\u00e9cider, sous r\u00e9serve des dispositions l\u00e9gales et statutaires. <\/p>\n\n\n\n

      La Fondation peut accepter des dons, des legs et autres lib\u00e9ralit\u00e9s. Le Conseil prescrit si, et dans quelle mesure, les lib\u00e9ralit\u00e9s re\u00e7ues doivent \u00eatre consid\u00e9r\u00e9es comme revenus ou comme augmentation du capital. <\/p>\n\n\n\n

      Toute d\u00e9cision relative au programme d'activit\u00e9 de la Fondation est de la comp\u00e9tence du Conseil.<\/p>\n\n\n\n

      Article 8<\/h4>\n\n\n\n

      Le Conseil d\u00e9signe une commission scientifique permanente compos\u00e9e de cinq membres au moins et qui se constitue elle-m\u00eame. <\/p>\n\n\n\n

      Cette commission \u00e9met, \u00e0 l'intention du Conseil :
      \n\u2022 des propositions de sujets de recherches,
      \n\u2022 des pr\u00e9avis sur l'opportunit\u00e9 et la qualit\u00e9 des projets,
      \n\u2022 des recommandations pour la diffusion des r\u00e9sultats
      \nLe mandat des membres de la commission est d'une dur\u00e9e de trois ans et renouvelable. <\/p>\n\n\n\n

      Un membre du bureau ex\u00e9cutif fait partie de droit de la commission scientifique.<\/p>\n\n\n\n

      Article 9<\/h4>\n\n\n\n

      Le Conseil peut d\u00e9cider de l'engagement de collaborateurs r\u00e9tribu\u00e9s.<\/p>\n\n\n\n

      Article 10<\/h4>\n\n\n\n

      Les nouveaux membres du conseil sont choisis par cooptation en veillant \u00e0 ce qu\u2019ils puissent soutenir les d\u00e9marches de recherche r\u00e9pondant aux missions de la Fondation et repr\u00e9senter les int\u00e9r\u00eats des personnes en situation de handicap et leur famille, dans la diversit\u00e9 des questions qui se posent, quel que soit le handicap.<\/p>\n\n\n\n

      Article 11<\/h4>\n\n\n\n

      La cl\u00f4ture de l'exercice annuel est fix\u00e9e au trente et un d\u00e9cembre de chaque ann\u00e9e. Le premier exercice est cl\u00f4tur\u00e9 le trente et un d\u00e9cembre mil neuf cent huitante. Le bilan et le compte de pertes et profits sont soumis \u00e0 l'Autorit\u00e9 cantonale de surveillance avec le rapport de gestion.<\/p>\n\n\n\n

      Article 12<\/h4>\n\n\n\n

      En cas de dissolution de la Fondation, les biens de celle-ci sont affect\u00e9s conform\u00e9ment au but statutaire; ils peuvent notamment \u00eatre c\u00e9d\u00e9s \u00e0 une institution ayant un but similaire, sous r\u00e9serve de l'approbation de l'Autorit\u00e9 de surveillance. En aucun cas ils ne peuvent faire retour aux fondateurs <\/p>\n\n\n\n
